Generic Scope
Technical leader with a high degree of knowledge in the overall field and recognized expertise in specific areas; problem-solving frequently requires analysis of unique issues/problems without precedent and/or structure. May manage programs that include formulating strategies and administering policies, processes, and resources; functions with a high degree of autonomy.

Custom Scope
Uses advanced contract administration skills to draft and issue highly complex or customized contracts. Provides consultation, advice on drafting complex contracts and assistance in the interpretation of contract language, which may include consultation with General Counsel, and guidance from University policies and procedures.

Department Custom Scope
The Director of Contracts will be responsible for leading and managing all functions of the Contracts Department including, but not limited to negotiating and contracting for Clinical, GME and UME professional services on behalf of UCR School of Medicine (SOM), and the UCR Medical Group, the faculty practice group of the SOM, as well as sustaining a clear contracting workflow. The incumbent will also serve as a key UCR SOM representative with all internal and external parties in order to timely research and resolve contract-related operational issues, as well as act as liaison to health plans, referral medical groups, and other third party payers to ensure ongoing satisfaction with UCR SOM and/or UCOP regulations. The incumbent will review all contractual supporting documentation essential to the development of contract negotiation and work closely with Campus Council in the review of all contracts. The incumbent will be responsible for maintaining and reviewing all contract files, including the appropriate supporting documentation submitted by the contract requesting department. This may include fair market valuations, conflict of interest/business associate/exclusions screenings, insurance certificates, corporation searches, business licenses, etc. Also, the incumbent will ensure accurate tracking of contract expirations dates, prepare regular contracts status reports for SOM department managers and leadership teams, and address compliance-related issues as needed. S/he must possess very strong working relationships and negotiation skills/techniques, in order to effectively build and sustain effective collaborative efforts with internal and external affiliates.

Key Responsibilities

Prepares and executes highly complex contract documents.
  • Negotiates third party payer contracts, including development of contract language and rates. Works closely with the Director of Clinical Finance in the timely and accurate review, update and execution of all payer contracts. Negotiates professional service agreements with clinical affiliates, other health care entities such as hospitals, including development of contract language and rates. This may include the educational or clinical services of UCR's faculty for on-call services, medical directorships and/or clinical care services. Effectively reviews and analyzes all contractual data and supporting documentation essential to the development of contract negotiation strategies that meet the needs of the organization.

Consults with relevant staff to draft appropriate master consulting agreements as required.
  • Draft and/or review contracts with vendors for consulting services and building space leases. Always ensures that records of discussions and agreements are maintained completely and accurately. Serves as the lead in preparing these master agreements and contracts. Draft service contracts for physicians and providers to act as expert witnesses in litigation and determining patient fitness for duty.

Prepares and issues appropriate agreement to contractor.
  • May participate in contractor selection process in accordance with relevant policies, rules and regulations, etc. As applicable, ensures business associate agreements (BAA) are in place to comply with Health Insurance Portability and Accountability Act (HIPAA).

Counsels departments in the execution of highly complex, specialized agreements and provides appropriate business, policy and legal review.
  • Track all SOM educational and clinical agreements in consultation with SOM, UCR, UCOP, and SOM/UCR compliance. Develop master affiliation agreement templates and all affiliation agreements for the SOM to provide services to other healthcare entities and for our students/residents to complete their clinical rotations. Draft and review contracts with vendors for consulting services and building space leases. Effectively monitors all contracts to determine continued sustainability and contractual accuracy, in order to advise departments during the preparation of proposals for contract renewals. Responsible for training all SOM constituents on the Contracts renewal and execution process, including the development of relevant training materials, presentations, etc.

Drafts complex or highly specialized exceptions to agreement terms and conditions as required by organization guidelines, rules, regulations, etc.

Serves as a key player and resource for contracts outside of SOM with healthcare components.

Determines appropriate insurance coverage and ensures that contractors have required coverage, documented through correctly completed insurance certificates.

As required, coordinates and ensures the execution of the agreement for the Regents.

Maintains the contract database with electronic summary of terms with all pertinent contract elements. Designs, and sustains regular contacts status reports that are disseminated to SOM departments and/or leadership team.
